St. John Bosco Club,

Constitution as amended at E.G.M. On the 19 March, 2013
- The name of the Club shall be St. John Bosco Club.
- The aims of the club are to provide recreational facilities for the youth and adults of Donegal Town and District.
- The Executive committee shall be elected by the members at the Annual General Meeting which shall be held each March. This process shall be in the form of nomination papers sent along with the Agenda, to all members, no later than twenty one days prior to the Annual General Meeting. All activities of the club shall be governed by this committee with a minimum number of fifteen committee members and a maximum number of eighteen committee members (inclusive of the three executive). No more than two thirds the committee of shall step down in order to promote continuity of the club.
- The officers who shall be elected by and from the members at the Annual general meeting are as follows:-
- Chairman
- Secretary
- Treasurer These aforementioned officers shall form the Executive of the committee selected at the A.G.M.
- The remaining officers, who shall be elected by and from the committee are as follows:-
- Vice Chairman
- Assistant Treasurer
- Assistant Secretary
- Building Maintenance Officer All Officers must retire annually but are eligible for re-election to the same or any other office for a period not to exceed three years successively.
- Five Trustees shall be elected by the committee and they shall hold office until death resignation unless removed by a resolution of the committee. The property of the club shall be vested in the Trustees. They shall deal with the property of the club as directed by the resolution of the committee (of which an entry in the minute book shall be conclusive evidence), and they shall be indemnified against risk and expense out of club property.
- The committee to meet at least once month, except for the summer recess in the month of August. The monthly meeting to be a platform to examine the accounts and all workings and affairs of the club. Minutes shall b e taken of all the proceedings of the committee and shall be open to inspection by any member of the club applying to the secretary thereof. The committee shall have the right to apply for grant aid. Committee shall b e obliged to seek tenders for all works or services exceeding €500. The club shall only accept tenders from companies o r individuals who can demonstrate they are tax compliant and carry the appropriate insurances. Payment for works will only be issued upon recommendation of the Building Maintenance Officer.
- The committee shall have the power to co-opt members as the occasion demands but only when a written request has been received from the person seeking co-option. 9.The committee may, from time to time, appoint from among it’s members and membership of the club and the juvenile membership such sub-committees as the deem necessary or expedient and may depute or refer to them such of the powers and duties of the committee a s the committee may determine. Such sub committees shall periodically report their proceeding to the committee, and shall conduct their business in accordance with the directions of the committee.
- The Club constitution may only be changed at an Extraordinary General Meeting of the club membership called for that purpose and subject t o a two-thirds majority of all club members present at that meeting.
- The committee shall be entitled to make and enforce rules and regulations concerning the management of the club functions or activities, whether such functions are held in a building or other place which i s owned, hired out or acquired b y the club.
- The members of the club (other than juvenile members under the age of 16 years and under) at the day of the 2nd of March, 2012 are enclosed. The foregoing members are the only members of the club entitled to hold office (provided they have been a committee member for a minimum of three years) or nominate a member for office or vote at any meeting of the club. Juvenile members (i.e. Members who have not attained the legal age of majority) shall not be entitled to hold office or to nominate a member for office or vote at any meeting of the club.
- All members shall be deemed informed and bound by the constitution. No action at law shall be brought by or on behalf of any committee member or any member of the club in respect of or members t o be issued with a copy of the constitution.
- The annual subscription payable by each member or class of member shall b e fixed from year to year by the committee and ratified by members a t the A.G.M.
- The renewal subscription shall be payable in advance on or before the day of the 31 August in each year. A list of all members of the club shall be prepared by the Honorary Secretary and exhibited on the notice board on or after the 1” September each year. Any member who has not paid before this date will not be entitled to hold office or nominate a member for office or vote at any meeting of the club.
- If at any time the members of the club in general meeting shall pass a resolution giving the committee a general or specific power to borrow money for the purpose of the club the committee shall thereupon b e empowered (within the limits of any specified in such resolution) so to borrow money at one time or from time to time in such amounts as such rates of interest in such form and manner and upon such security as to them shall appear necessary and proper. When the committee borrow money in accordance with this rule the trustees shall make all such dispositions of the club property and enter into all such agreements in relation to such borrowings as the committee say, in accordance with the terms with any relevant resolution deem proper for giving security for such borrowings and interest. All members of the club shall be bound by any resolution passed at a General Meeting authorising the committee to borrow money for the purpose of the club whether voting on such resolution o r not: and all persons becoming members of the club after the passing of any such resolution shall be deemed to have assented to the same as if they, being members, had voted in favour of such resolution. 18.If on the grounds of expense or otherwise the committee shall decide upon the dissolution of the club, a resolution to dissolve shall be considered by an EGM called at not less than fourteen days notice to members for that purpose. The club shall be dissolved only by majority of two-thirds of members present and voting a t such meeting. Following a decision to dissolve, the assets of the club shall following satisfaction of all debts and liabilities to one or more charitable associations having objects similar o r relating to those of the club a s determined by simple majority a t such meeting.
- That the St John Bosco Club amend the Constitution to allow it to apply for and hold on an annual basis a Club Licence. That the sale and supply of intoxicating liquor to the Club members shall be controlled by the Management Committee on behalf of the members. No member of the Committee and no manager or servant employed in the Club shall have any personal interest in the sale of excisable liquor i n the Club or in the profits arising from such sale. No excisable liquor shall be supplied for consumption on the club premises to any person, or be consumed on those premises by any person (other than such a member) (a) a t any time on Christmas Day or Good Friday, or (b) on any other day, outside the hours specified in respect of that provided for in section 2(1) (b) of the Intoxicating Liquor Act 1927, a s amended. Nothing in the Registration of Clubs Acts 1904-2008, or contained, by virtue of the operation of subsection (1) of section 56 of the Intoxicating Liquor Act 1927 as amended, in the rules of the Club shall operate to prohibit the supplying for consumption on the club premises of excusable liquor to any person or the consumption of excisable liquor on those premises by any person- (a) on Christmas Day, between 12.00 midday and 10.00pm or (b) on any other day, for one hour after the expiration or any period in respect of that day during which it is lawful for the club, by virtue of section 2(1) (b) (as substituted by section 3 of the Intoxicating Liquor Act 1927) to supply any excisable liquor for consumption on the club premises, if in each case the excisable liquor is (i) ordered by that person at the same time as a substantial meal is ordered by him or her,and (ii) consumed by that person during the meal or after the meal has ended. No excisable liquor shall be sold or supplied on the Club premises to any person under the age of 18 No excisable liquor shall be sold or supplied for consumption outside the premises of the Club, except to members of the Club, between 8am and 10pm. A visitor shall not be supplied with excisable liquor In the clubs premises unless on invitation and in the company of a member and the member shall with the admission of such visitor to the Club premises or immediately on his being supplied with such liquor enter his name and the name and address of the visitor in the Visitors Book which shall be kept for that purpose and which shall show the date of each such visit. Members of a group who are members of a club, whether registered or unregistered, society or organisation and who are visiting the club for the purpose of: (i) taking part in any pastime, sport, game or recreation there, or (i) organising or taking part in the organisation of, or arrangements for, any such activity, may be supplied with intoxicating liquor at the request and in the presence of an officer of the club on the occasion or such visit. Such officer shall enter the name of the group concerned, and the number of persons in it, in the Visitors Book. Functions: The Club shall not hold any function in its premises, unless (a) the function is (i) for the benefit of the Club a s a whole, (i) related t o the Clubs objects and (iii) organised by the Club and (b) only members of the Club and their guests are present at it.
- The above rule shall not apply to any function- (a) where the whole proceeds, after deducting the expenses of the function, are devoted to community, charitable or benevolent purposes, or (b) which is organised by the Club or a member (or a member of his or her family) and at which only the member and his or her guests are present. Notice or advertisement of any function or event held in the Club House or grounds shall comply with the requirements of section 45 of the Intoxicating Liquor Act 1988 (as amended). General Any provisions which are contained in these Rules which are not in conformity with any statutory provision contained in the Registration of Clubs Acts 1904 to 2008 shall be deemed to be null and Any provisions which are contained in these Rules which are not in conformity with any statutory provision contained in the Equal Status Act 2000 shall b e deemed to be null and void No rule of the Club with the exception of the rules relating to the supply of intoxicating liquor on the Club premises shall be altered, rescinded or added to without the consent of at least two thirds of the members present and entitled to vote at any General Meeting of the Club. All rules contained in the Club Rules which relate to the supply of intoxicating liquor on the Club premises may be altered by the Committee to conform with the Registration of Clubs Acts 1904 to 2008, as may be amended from time to time, and notice of any such alteration or addition made by the Committee shall forthwith be posted in the Club House No gaming or games of chance shall be permitted on the Club premises No collections for any purpose shall be made in the Club premises save as authorised by the Committee No paper, notice or placard written or printed shall be put up in the Club House without the sanction of the Committee. 20.All income of the club, howsoever derived, shall be applied to the charitable purposes of the club and to no other purpose, provided that nothing herein contained shall prevent the reimbursement for work legitimately incurred at the behest of the Committee to members of the club.
